Terms of Use

1. Agreement

These Terms of Use ("Terms") govern your access to and use of Persona, the iOS application ("App") published by HighRoad Software, the trading name of COBI Management SRL, Rue Haut Chemin 8, 1370 Jodoigne, Belgium ("we", "us", "our").

By downloading, installing, or using the App, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the App.

These Terms incorporate Apple's Standard End User License Agreement (EULA) by reference.

2. Age requirement

Persona is rated 17+ and is intended for users who are 17 years of age or older. By using the App, you confirm that you are at least 17 years old. Access to adult content packs within the App requires an additional age confirmation.

If you are under 17, you are not permitted to use this App. If a parent or guardian discovers that a minor has used the App, please contact us at support@highroadsoftware.com.

3. License

Subject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, revocable, limited licence to download and use the App on iPhone devices you own or control, solely for your personal, non-commercial use.

You may not:

• Copy, modify, distribute, sell, or sublicense the App or any part of it
• Reverse-engineer, decompile, or disassemble the App or the AI model files it uses
• Remove or alter any proprietary notices or labels on the App
• Use the App for any commercial purpose or for the benefit of a third party
• Transfer the App or your rights under these Terms to another person

4. Subscriptions and in-app purchases

Free tier

Persona can be downloaded and used without payment. The free tier includes the bundled 1B AI model with a limit of 10 conversations per day and 50 memory entries per character.

Premium subscription

Persona Premium is an auto-renewing subscription available monthly ($6.99 USD/month) or annually ($49.99 USD/year). A 7-day free trial is offered to new subscribers.

• Payment will be charged to your Apple ID at confirmation of purchase
• The subscription renews automatically unless cancelled at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours before the end of the current period at the price shown at the time of initial purchase
• Free trial periods will not be offered if you have previously activated a trial for this subscription
• You can cancel auto-renewal at any time via your Apple ID settings in the iOS App Store. Cancellation takes effect at the end of the current billing period.

One-time purchases (model upgrades and style packs)

AI model upgrades (Standard, Premium, Elite) and style packs are one-time non-consumable in-app purchases. Once purchased, they remain associated with your Apple ID and can be restored on any device you own using the same Apple ID.

Refunds

All in-app purchases are processed by Apple. Refund requests must be submitted to Apple directly via reportaproblem.apple.com. HighRoad Software does not process refunds directly.

Pricing

Prices are displayed in your local currency at the time of purchase. We reserve the right to change prices, and we will give notice of changes as required by applicable law.

5. Acceptable use

You agree to use Persona only for lawful purposes and in compliance with these Terms. You must not use the App to:

• Generate, store, or transmit content that is illegal under applicable law
• Attempt to extract, reproduce, or redistribute AI model weights included in the App
• Circumvent any age verification or content restriction mechanism in the App
• Attempt to reverse-engineer, probe, or exploit the inference engine or memory architecture
• Impersonate any person or entity in a manner intended to cause harm

6. AI-generated content

Persona uses on-device AI language models to generate character responses. These responses are generated by machine learning models and do not represent the views, opinions, or advice of HighRoad Software.

AI-generated content may be inaccurate, inappropriate, or unexpected. You are responsible for how you use and interpret AI-generated content. Do not rely on Persona for medical, legal, financial, or any other professional advice.

The characters in Persona are fictional. Any resemblance to real persons, living or deceased, is coincidental.

7. Content you generate

All conversation content, memory entries, character configurations, and other data you create within the App are stored locally on your device. You retain all rights to this content. HighRoad Software has no access to it and makes no claim to ownership of it.

You are solely responsible for the content you create and for ensuring that your use of the App complies with all applicable laws.

8. Intellectual property

The App, including its source code, design, graphics, user interface, and documentation, is owned by HighRoad Software and protected by intellectual property law. Nothing in these Terms grants you any rights to our trademarks or trade names.

The AI model files distributed with or downloadable through the App are subject to their respective open-source licences (Llama 3.2: Meta's Community Licence; Phi-3 Mini: MIT; Mistral 7B: Apache 2.0). Style pack LoRA adapters are proprietary to HighRoad Software.

9. Updates and changes to the App

We may update the App periodically to add features, fix bugs, or comply with legal requirements. Some updates may be required for continued use. We reserve the right to discontinue any feature, model, or content pack at any time.

If we discontinue a paid model or style pack you have purchased and there is no direct replacement, we will offer a refund or an equivalent alternative.

10. Disclaimer of warranties

To the maximum extent permitted by applicable law, the App is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the App will be uninterrupted, error-free, or that AI-generated content will be accurate, complete, or suitable for any particular purpose.

11. Limitation of liability

To the maximum extent permitted by applicable law, HighRoad Software and COBI Management SRL shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the App, including but not limited to loss of data, loss of profits, or any damages resulting from reliance on AI-generated content.

In jurisdictions that do not allow the exclusion of certain warranties or the limitation of liability for certain damages, these limitations may not apply to you.

12. Governing law and disputes

These Terms are governed by the laws of Belgium. Any dispute arising from these Terms or your use of the App will be subject to the exclusive jurisdiction of the courts of Brussels, Belgium, except where mandatory consumer protection laws in your jurisdiction provide otherwise.

If you are a consumer in the European Union, you may also have the right to use the EU's online dispute resolution platform at ec.europa.eu/consumers/odr.

13. Termination

We may suspend or terminate your access to paid features if you breach these Terms. You may terminate your use of the App at any time by deleting it from your device. Termination does not affect any provision that by its nature should survive termination.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified via an in-app message. Continued use of the App after the effective date of changes constitutes acceptance of the revised Terms. The current version is always available at highroadsoftware.com/apps/persona/terms.
